Terms and Conditions
These terms govern access to the platform, signup, billing, and use of each dealership workspace.
1. Acceptance of Terms
These Terms and Conditions govern access to and use of EasySell Cloud. By registering, selecting a package, making payment, accessing a workspace, or otherwise using the platform, you confirm that you are authorized to act on behalf of the business or organization being registered, and that you accept these terms on its behalf.
2. About the Service
EasySell Cloud is a cloud-based dealership and business operations platform designed to support functions such as teams, branches, inventory, sales, commissions, credit tracking, billing, and related administrative workflows. The exact features, usage limits, and access levels available to you depend on the package selected at signup or any later upgrade, downgrade, or custom agreement.
3. Eligibility and Business Authority
The platform is intended for use by businesses, organizations, and their authorized representatives. By signing up, you confirm that the information submitted during registration is accurate, complete, and up to date, and that you have the authority to create and manage the account for the relevant business or entity.
4. Account Registration and Security
You are responsible for maintaining the confidentiality of your login credentials, administrator accounts, workspace access details, and any tenant or subdomain identifiers assigned to your account. You are also responsible for all activities carried out under your workspace, except where such activity results directly from a platform-side security failure or fault.
You must promptly notify the service provider if you suspect unauthorized access, credential compromise, or any other security incident affecting your account or workspace.
5. Packages, Billing, and Activation
Access to the platform is provided according to the package selected by your business. Pricing, billing intervals, feature access, usage limits, and related commercial terms are tied to the selected package or any later approved billing arrangement. Workspace activation may be conditional upon successful payment verification.
If payment is not made when due, the service provider may issue reminders, restrict certain features, suspend access, or deactivate the workspace, subject to any grace period or billing rules applicable to the account.
6. Acceptable Use
You agree not to use the platform in any way that is unlawful, abusive, harmful, or disruptive to the service or to other users. This includes, but is not limited to:
- Attempting unauthorized access to the platform, servers, accounts, or connected services.
- Uploading malicious code, harmful scripts, or materials intended to disrupt operations or compromise security.
- Using the platform to commit fraud, misrepresentation, unlawful trading, or infringement of third-party rights.
- Impersonating another person, business, entity, or authorized operator.
- Misusing communication, payment, notification, or reporting features in a way that causes harm, confusion, or abuse.
7. Business Data and Platform Rights
Your business remains responsible for the accuracy, legality, and integrity of all records, customer information, operational data, documents, and other content entered into or generated within the workspace.
By using the platform, you grant the service provider the limited right to host, process, store, back up, transmit, and use such data as reasonably necessary to provide the service, maintain security, support billing, carry out maintenance, improve product functionality, and comply with applicable legal obligations.
8. Availability, Maintenance, and Product Changes
The platform may be updated, maintained, improved, patched, or modified from time to time in order to support reliability, security, compliance, and product development. While reasonable efforts may be made to maintain continuity of service, uninterrupted or error-free availability is not guaranteed.
The service provider reserves the right to adjust features, workflows, package structures, limits, interface elements, or supporting integrations where reasonably necessary for business, technical, legal, or operational reasons.
9. Suspension and Termination
The service provider may suspend, restrict, or terminate access to the platform where:
- Subscription fees or other valid charges remain unpaid;
- these Terms and Conditions are breached;
- fraud, abuse, or suspicious activity is detected or reasonably suspected;
- continued access presents operational, legal, or security risk; or
- the service is being discontinued or materially changed.
Suspension or termination does not remove any payment obligations or liabilities already incurred before the date of suspension or termination.
10. Data Access After Suspension or Termination
Following suspension or termination, access to the workspace and its contents may be restricted or removed. Where applicable and reasonably possible, the service provider may allow limited retrieval of business data within a defined period, subject to outstanding obligations, technical feasibility, and applicable internal policy.
11. Limitation of Liability
To the maximum extent permitted by law, EasySell Cloud is provided on an “as available” and “as is” basis. The service provider shall not be liable for indirect, incidental, special, punitive, or consequential loss, including but not limited to loss of profits, loss of revenue, loss of data, business interruption, or loss of business opportunity, except where such liability cannot legally be excluded or limited.
Businesses are responsible for maintaining their own internal controls, review procedures, and operational safeguards when using the platform.
12. Intellectual Property
The platform, including its software, interface design, branding, structure, and related materials, remains the property of the service provider unless otherwise stated in writing. Use of the service does not transfer ownership of the platform or its underlying intellectual property to the customer.
13. Changes to These Terms
These Terms and Conditions may be updated from time to time. The most recent published version will take effect from the stated effective date. Continued use of the platform after such updates constitutes acceptance of the revised terms.
